Terms of Sale

These Terms of Sale apply to all quotations, orders and supplies made by Maxx Steel Corporation, operating under the Indus Pallet brand through www.induspallet.com.
By approving our quotation, issuing a purchase order, approving a sample, making payment, confirming an order by email or WhatsApp, or accepting delivery, the buyer agrees to these Terms of Sale unless different terms are agreed by us in writing.
1. Quotations and Orders
All quotations are based on the quantity, specifications, delivery location and requirements shared by the buyer.
An order is confirmed only after we accept it and receive the required advance payment, where applicable.
Prices and delivery timelines may change if the buyer changes the quantity, size, design, material or other requirements after quotation.
2. Prices and Taxes
Prices will be as mentioned in our quotation or invoice.
Unless clearly included in the quotation, the following may be charged separately:
GST and applicable taxes
Transportation
Loading or unloading
Special packaging
Testing or certification
Storage or detention charges
Any additional requirement requested after order confirmation may be charged separately.
3. Payment Terms
Payment must be made according to the terms mentioned in our quotation, proforma invoice or invoice.
Advance payment may be required before we start procurement, production, treatment or customization.
Once work or procurement has started, the advance payment will normally not be refundable.
If payment is delayed, we may stop production, hold dispatch or suspend further supply until payment is received.
4. Custom Orders
Products made according to a customer’s required size, design, load capacity, treatment or other specifications are considered custom orders.
Once production or procurement starts, the order cannot be cancelled or changed without our approval.
If we accept a change or cancellation, the buyer may be charged for materials, labour, transportation and other costs already incurred.
5. Sample Approval
Where a sample, drawing, photograph or specification is provided for approval, the buyer must check it carefully before giving approval.
Approval by email, WhatsApp, purchase order or other written confirmation will be treated as final approval.
Once the sample or specification is approved, bulk production will be carried out according to that approved sample or specification.
The buyer cannot later reject the order for a feature or condition that was already visible or clearly included in the approved sample.
Minor variations may occur in wooden, recycled or industrial products because of the nature of the material.
6. Buyer Requirements
The buyer is responsible for providing correct product requirements before placing the order.
This includes dimensions, load requirements, use, storage conditions, racking requirements, treatment requirements and any special application.
If goods are supplied according to the information approved by the buyer, Indus Pallet will not be responsible if the product is later found unsuitable for an application that was not disclosed to us before production.
7. Pre-Dispatch Inspection
After production is completed, the buyer or its authorised representative may inspect the goods at our warehouse or dispatch location before dispatch.
Any issue related to quality, dimensions, workmanship, quantity or approved specifications must be raised before dispatch.
If a genuine defect or difference from the approved sample is identified before dispatch, Indus Pallet will correct or replace the affected goods as required.
If the buyer approves the goods for dispatch, gives dispatch instructions or chooses not to inspect the goods and asks us to dispatch them, the goods will be treated as accepted.
8. Responsibility After Dispatch
Unless otherwise agreed in writing, our responsibility for the goods ends once the approved goods are loaded, handed over to the transporter and dispatched from our warehouse or dispatch location.
After dispatch, Indus Pallet will not be responsible for damage caused during transportation, handling, unloading, storage or use.
This includes damage caused by:
Transit or vehicle handling
Rain, moisture or weather exposure
Improper unloading
Incorrect stacking
Forklift handling
Overloading
Improper storage
Mishandling after dispatch
This condition applies even where Indus Pallet helps arrange transportation for the buyer, unless we specifically agree otherwise in writing.
The buyer may arrange transit insurance if required.
9. Delivery
Delivery timelines provided by us are estimated timelines.
We will make reasonable efforts to deliver on schedule, but delays may occur because of transport issues, material shortages, weather, government restrictions, labour issues or other circumstances outside our control.
Such delays will not automatically give the buyer the right to cancel the order or claim compensation.
10. Failure to Accept Delivery
Once goods are ready for dispatch, the buyer must accept delivery according to the agreed schedule.
If the buyer delays dispatch or refuses to accept the goods, additional storage, handling or transportation charges may apply.
Payment will not automatically be delayed because the buyer postpones delivery.
11. Returns and Replacements
Goods supplied according to an approved sample or agreed specification are not returnable after dispatch.
Returns will normally not be accepted for:
Custom-made goods
Goods approved before dispatch
Change of requirement by the buyer
Incorrect specifications provided by the buyer
Excess quantity ordered by the buyer
Natural variations in wooden products
Damage occurring after dispatch
Improper storage or handling
If a verified defect is identified before dispatch, Indus Pallet may repair or replace the affected goods before they leave our premises.
Once the buyer has approved the goods for dispatch and the goods have left our premises, claims relating to visible quality, workmanship or specification will normally not be accepted.
12. Order Cancellation
A confirmed order cannot be cancelled without written approval from Indus Pallet.
Once the sample is approved and production, procurement or preparation has started, the order will normally be treated as non-cancellable.
If we agree to cancellation, the buyer will be responsible for costs already incurred.
Once goods have been approved and dispatched, the order cannot be cancelled or returned.
13. Product Variations
Wood is a natural material.
Small differences in colour, grain, texture, moisture, knots, surface appearance or dimensions may occur.
Such natural differences will not be treated as defects where the product meets the approved specifications.
Recycled or repaired pallets may also show signs of previous use.
14. Heat Treatment and Export Requirements
If heat-treated pallets or any special export requirement is needed, the buyer must inform us before confirming the order.
The buyer is responsible for informing us about any special customer, destination-country or regulatory requirement.
Certificates or documents not included in the original quotation may be charged separately.
15. Ownership and Risk
Unless otherwise agreed in writing, risk in the goods passes to the buyer once the goods are dispatched from our warehouse or handed over to the transporter.
Where applicable, ownership of the goods may remain with Maxx Steel Corporation until full payment is received.
16. Limitation of Liability
Our responsibility will be limited to the value of the goods directly affected by a verified claim, to the extent permitted by applicable law.
Indus Pallet will not be responsible for indirect losses such as loss of profit, business interruption, production delay, customer penalties or loss of another contract.
17. Website Information
Product images, descriptions and specifications shown on www.induspallet.com are for general reference.
The final approved quotation, sample and agreed specification will apply to the actual order.
Website photographs may not exactly match the supplied product.
18. Force Majeure
Indus Pallet will not be responsible for delays or failure to supply caused by events outside our reasonable control.
This may include natural disasters, fire, flood, strikes, government restrictions, transportation problems, supply shortages or other major disruptions.
19. Governing Law
These Terms of Sale are governed by the applicable laws of India.
The parties should first try to resolve any dispute through discussion.
Subject to applicable law, disputes will fall under the jurisdiction of the competent courts in Raigad, Maharashtra.
20. Changes to These Terms
Maxx Steel Corporation may update these Terms of Sale from time to time.
The terms applicable to an order will normally be those in effect when the order is confirmed, unless different terms are agreed in writing.
